Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Reputify LLC, a Wyoming limited liability company (“Reputify”, “we”, “us”). By creating an account or using Reputify, you agree to these Terms. If you use Reputify for a business, you confirm you can bind that business.

1. The service

Reputify is a software service that helps local businesses manage online reviews. It includes a review inbox, reply drafting, review requests, private feedback, summaries and related tools. We may change, add or remove features over time.

2. Accounts

You must give accurate information and keep your login details secure. You are responsible for activity under your account. Tell us promptly if you think your account has been accessed without permission.

3. Free trial

New accounts may receive a free trial of 14 days with no card required. At the end of the trial, you must choose a paid plan to keep using the paid features.

4. Plans, billing and taxes

Plans are billed in US dollars, monthly or yearly, in advance, through our payment processor, Stripe. Prices are shown plus applicable taxes. Subscriptions renew automatically at the end of each billing period until you cancel. You authorize us to charge your payment method for each renewal. We may change prices with at least 30 days' notice, effective from your next billing period. See our Refund and Cancellation Policy.

5. Your content and data

You keep ownership of your content and of the data you bring into Reputify, including your customers' information. You give us a limited license to host, process and display that data only as needed to provide the service to you. You are responsible for your content and for having the rights and consents needed to upload it and to contact your customers.

6. Acceptable use

You agree not to:

• use Reputify for anything unlawful, misleading or harmful;
• post or request fake, incentivized or manipulated reviews, or break the rules of Google or any review platform;
• send messages to people who have not agreed to receive them, or break laws and platform rules on email, text or WhatsApp messaging;
• attempt to disrupt, reverse engineer or gain unauthorized access to the service; or
• resell the service without our written permission.

We may suspend or limit access if we believe these rules are being broken.

7. Third-party services

Reputify works with services such as Google and WhatsApp. Your use of them is subject to their own terms, and we are not responsible for their availability or changes. Reputify is not affiliated with or endorsed by Google or Meta.

8. AI-generated content

Reply drafts and answers are generated automatically and may contain mistakes. You are responsible for reviewing them before you use or publish them.

9. Our property

Reputify, its software, design and content are owned by us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription.

10. Disclaimers

The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise any particular number of reviews, ratings or business results.

11. Limitation of liability

To the fullest extent the law allows, Reputify will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.

12. Term and termination

You may cancel at any time from your account or by emailing us. We may suspend or terminate your access if you break these Terms or if we stop providing the service. After termination, your right to use the service ends, and we will handle your data as described in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. You and Reputify agree that the state and federal courts located in Wyoming will have jurisdiction over any dispute, unless the law requires otherwise.

14. Changes to these Terms

We may update these Terms. If we make material changes, we will update the date above and notify account holders. Continued use after the effective date means you accept the updated Terms.
